TERMS OF SERVICE — B2B ADDENDUM

For Business Clients & Professional Service Engagements

The following terms apply specifically to business clients, organizations, and any party engaging Spice & Soul Media LLC for professional coaching, consulting, speaking, workshop facilitation, content strategy, grant writing, creative writing coaching, or any other professional service ("B2B Clients"). These terms supplement the general Terms of Service above. In the event of conflict, these provisions govern for B2B engagements.

Services Agreement

All B2B engagements are governed by a signed Client Services Agreement in addition to these Terms. The Client Services Agreement controls the specific scope of work, deliverables, fees, and timeline. In the absence of a signed agreement, these B2B Terms and any written invoice or email confirmation serve as the binding terms of the engagement.

Scope of Application

These B2B Terms apply to all services purchased or agreed upon through spicesoulmedia.com, direct invoice, or signed agreement, including but not limited to: LLC formation coaching, entrepreneurship coaching, brand strategy sessions, self-publishing coaching, social media strategy consultations, email marketing services, grant writing consultations, creative writing workshops, memoir coaching, AI tools for business coaching, keynote speaking engagements, and workshop facilitation.

Business Representations

B2B Clients represent and warrant that they have the authority to enter into an agreement on behalf of their organization (if applicable), will provide accurate business information and timely feedback, and understand that coaching and consulting services are collaborative — results depend on the Client's own effort and implementation.

Payment & Invoicing

A non-refundable 50% deposit is required before any work begins or any session is scheduled. Remaining balances are due as stated in the invoice or Client Services Agreement. Invoices unpaid after seven (7) days of the due date will incur a late fee of $25 or 5% of the outstanding balance (whichever is greater) per week. Spice & Soul Media LLC reserves the right to pause services until outstanding balances are paid. For speaking engagements, full payment is required 30 days before the event date.

Accepted payment methods: credit/debit card via spicesoulmedia.com (Wix Payments), PayPal, or other method as agreed in writing.

Intellectual Property

All frameworks, curricula, worksheets, presentation materials, and written content developed by Spice & Soul Media LLC remain the property of Spice & Soul Media LLC. B2B Clients receive a limited, non-exclusive license to use delivered materials for internal use only. B2B Clients may not resell, republish, repackage, or claim authorship of any Provider-created materials without express written permission. Client's own original content (business plans, manuscripts, brand assets) remains the Client's property.

Confidentiality

Both parties agree to maintain the confidentiality of non-public information shared during the engagement. Spice & Soul Media LLC will not publicly disclose Client's business information, strategies, or unpublished work without consent. Testimonials and anonymized case studies may be used for marketing purposes unless Client expressly opts out in writing prior to the engagement.

No Guarantee of Results

Spice & Soul Media LLC provides professional expertise, guidance, and support. No guarantee of specific business outcomes, revenue results, publishing success, grant awards, or audience growth is made or implied. Results depend on the Client's own effort, implementation, and individual circumstances.

Limitation of Liability

Spice & Soul Media LLC's liability for any B2B engagement shall not exceed the total fees paid for the specific service in question. Spice & Soul Media LLC shall not be liable for indirect, incidental, consequential, punitive, or special damages.

Cancellation & Refund Policy

• Deposits are non-refundable in all cases.

• Cancellations 72+ hours before a scheduled session: Client may reschedule once at no charge.

• Cancellations within 72 hours of a session: the session fee is forfeited.

• For multi-session packages cancelled mid-package: Client is charged for completed sessions at the single-session rate; any overpayment beyond that amount (above the deposit) will be refunded.

• No refunds for completed sessions, delivered documents, or digital products.

Dispute Resolution

B2B disputes shall first be addressed through good-faith written communication. If not resolved within 30 days, disputes shall be submitted to binding arbitration in Dallas County, Texas, under the rules of the American Arbitration Association. This Agreement is governed by the laws of the State of Texas.
